Website Accessibility Audit Agreement

Client:
Purpose of the Agreement: The Client wishes to hire the Provider to conduct an accessibility audit for their website, focusing on the Web Content Accessibility Guidelines (WCAG) standards.
Terms:
1. Services: The Provider will conduct a manual assessment of website pages, as outlined in the onboarding questionnaire, and templates on the Client's website. The assessment aims to identify accessibility barriers, and a comprehensive report will be delivered to guide the website's remediation process. It's important to note that the audit does not include actual remediation or subsequent re-assessment of the website.
2. Audit Scope:
The website accessibility audit will focus on evaluating the accessibility of the agreed-upon pages and templates on the Client's website. The selected pages aim to provide a representative sample covering various design elements, functionalities, and content types. The audit will specifically assess the website against the Web Content Accessibility Guidelines (WCAG) standards.

While the audit aims to provide a comprehensive evaluation of the selected pages, findings are based on a sample of pages and templates.
3. Ongoing Monitoring and Subscription Options
It is crucial for ongoing monitoring and evaluation to ensure sustained accessibility improvements. To support this, clients will be given the opportunity to subscribe to regular audits at a frequency that best suits their needs.
Subscription Options Include:
Subscriptions can be canceled at any time with a minimum of 30 days’ notice and no penalties.
4. Responsibilities: The Provider assumes no legal risk or obligation for completing the accessibility audit. It is the Client's responsibility to ensure the website is remediated according to the recommendations and reevaluated as necessary. The Provider is not responsible for the content on the Client's website, any remediation that is implemented or not implemented, or for compliance with local legal standards. The audit serves solely as a guide to assist the Client in achieving accessibility.
5. Timeline: The audit will be conducted and delivered within 30 days of payment with deliverables provided as outlined above.
6. Acceptance of Recommendations: The Client acknowledges that the recommendations provided are valuable for their web developer to implement and improve accessibility. The Client agrees to accept and act upon the recommendations.
7. Confidentiality: All information exchanged during the accessibility audit will be kept strictly confidential.
8. Client Obligations: The Client agrees to provide the necessary access and information for the audit to be conducted effectively.
9. Payment: Payment for the audit services are due in full prior to the audit commencing.
10. Limitation of Liability: The Provider's liability is limited to the fees paid by the Client for the accessibility audit services. The Provider assumes no liability for the website's remediation, subsequent performance, or compliance with local legal standards. The Client acknowledges that it is their responsibility to ensure ongoing compliance and address any local legal requirements.
11. Governing Law: This Agreement shall be construed according to the laws of Alberta, Canada.
12. Cancellation: Either party may cancel this agreement with written notice. In the event of cancellation by the Client, any payments made are non-refundable.
13. Force Majeure: Neither party shall be held responsible for delays or failures due to circumstances beyond their control. In such events, the affected party shall notify the other party
14. Refund Policy: Refunds will not be provided, and this agreement may be canceled without refund for non-compliance with Client obligations.
15. Support, Feedback, & Availability: Clients can contact the Provider via email for 30 days following the completion of the audit, allowing for 48 hours during the business week for a response time on non-urgent matters.
16. Non-Disparagement: Client agrees not to engage in conduct designed to disparage the Provider's services.
17. Respectful Conduct and Non-Tolerance of Discrimination: Both parties agree to maintain professional conduct throughout the agreement. Any form of harassment or discrimination, including based on race, gender, age, religion, or disability, will not be tolerated. The service provider reserves the right to terminate the agreement immediately if the client engages in unacceptable or discriminatory behavior.
18. Dispute Resolution: Disputes will be communicated through email, and binding arbitration will be pursued if necessary.
19. Notice: Effective notice shall be provided via email.
Client Acceptance:
I, the undersigned client, hereby warrant my competence to contract and accept the terms of this comprehensive Agreement.
This Agreement shall be binding upon the Parties and their heirs, legal representatives, and assigns.
